Introduction

By engaging Drake Industries Cleaning Services (“the Service Provider”), you (“the Customer”) acknowledge and agree to the following terms and conditions.
Commencement or continuation of services constitutes acceptance of this Agreement, whether or not a physical copy has been signed.
This Agreement is legally binding and governed by the laws of New South Wales, Australia.

  1. Cleaning Services

Drake Industries Cleaning Services agrees to provide cleaning and related maintenance services at the Customer’s premises in accordance with written quotes or agreed schedules. Services will be carried out professionally and in compliance with Australian workplace and safety standards.

  1. Implied Acceptance and Contract Duration

Commencement of services constitutes acceptance of this Agreement.
The Agreement remains in effect for 12 months from the start date.
Continuation of services beyond this period automatically renews the Agreement for an additional 12 months unless revised pricing is presented and approved.

  1. Amendments to Services

All changes to services must be approved in writing by Drake Industries management. Cleaning personnel are not authorised to make contractual changes.

  1. Customer Obligations
    • Provide a safe working environment under the WHS Act 2011 (NSW)
    • Ensure unobstructed access to all service areas
    • Provide water, electricity and waste-disposal access
    • Notify Drake Industries of known hazards
    • Secure valuables and move heavy items prior to cleaning
  2. Health and Safety

Cleaners may conduct a site risk assessment before commencing work. Services requiring work above 2 metres may incur additional charges for safety compliance. Work may be declined or ceased if unsafe conditions exist. Abuse, threats or violence towards staff will result in immediate termination and possible police referral.

  1. Non-Solicitation of Personnel

The Customer must not employ or engage Drake Industries staff for 24 months following termination of services.

  1. Job Quotations

All pricing is calculated annually and invoiced in 12 equal monthly instalments.
Secure parking must be provided. Equipment will not be carried beyond one flight of stairs if no lift is available.

  1. Pricing and Invoicing

All pricing is confirmed in writing prior to commencement.
Invoices are issued in accordance with the billing cycle and are due on receipt, unless otherwise agreed in writing.

  1. Payment Terms and Non-Payment Suspension

Non-payment 10 days after the invoice due date will result in immediate suspension of services until full payment is received.
Accounts outstanding beyond 30 days may be referred to collections and subject to termination.

  1. GST

All prices include GST unless otherwise stated. The Customer must pay the total amount inclusive of GST.

  1. Late Payment Fee

Invoices unpaid five (5) days after issue may incur a 9 % weekly late fee. Collection and legal costs are recoverable from the Customer.

  1. Complaints and Rectification

Complaints must be lodged within one (1) business day of service completion. Where appropriate, a re-clean may occur within two (2) business days.

  1. Termination and Renewal Conditions

If the Customer terminates within the initial 12-month period, the remaining balance is due within seven (7) days. Failure to provide at least 14 days’ written notice prior to renewal will result in automatic renewal for a further 12 months.

  1. Exclusions and Limitations

Liability is limited to resupply of the Service. Drake Industries is not liable for damage to valuables or customer-supplied equipment.

  1. Indemnity

The Customer indemnifies Drake Industries against any loss, damage, or cost arising from the services or breach of this Agreement.

  1. Accidents and Damage

Incidents must be reported within 24 hours. Claims lodged after this period are void.

  1. Cancellation Fees

A minimum of 24 hours’ notice is required to cancel or reschedule a service. Failure to provide notice may incur full charges.

  1. Fee for Non-Access to Premises

If cleaners cannot access the premises at the scheduled time, a $70 fee (GST inclusive) will apply.

  1. Fix-Up / Re-Visit Conditions

One (1) free re-visit is permitted for valid claims lodged within 24 hours. Re-visits cover only the original cleaned areas.

  1. Termination

The Customer must give 24 hours’ notice to terminate services. If termination occurs within the 12-month term, the remaining fees are payable within seven (7) days. Drake Industries may terminate immediately for safety or behavioural breaches.

  1. Privacy Policy

Customer information is used solely for service delivery and protected under Australian privacy laws.

  1. Changes to This Agreement

Terms may be updated without notice by posting the revised version on this website. Continued use of services implies acceptance of any updates.

  1. Law and Jurisdiction

This Agreement is governed by the laws of New South Wales, Australia.

  1. Severability

If any term is held invalid or unenforceable, the remaining terms remain in full effect.

  1. Copyright

  1. Other Provisions

Drake Industries is not liable for injury or damage where premises are unsafe. Non-payment beyond 30 days may be reported to collection agencies or law enforcement.

Effective as of 2025

This Agreement applies to all customers of Drake Industries Cleaning Services and is binding upon commencement of services.
